CVCA Membership Meeting and PRIVATE EQUITY MIXER
When April 16, 2013 Where Altány Kampa, Nosticova 2a, Prague 1 Contact www.cvca.cz On annual the Czech Private Equity and Venture Capital Association (CVCA) membership meeting on April, 16, 2013 new board members were elected.
New members of the board are: Jan Topinka from law firm Havel & Holásek who was newly elected as a chairman of CVCA Tax & Legal Committee and Luděk Palata from Riverside Europe Partners.
Thanks belongs to outgoing board members Mr Vladislav Jež from Credo Ventures and Tomáš Doležil from Clifford Chance law firm.
The membership meeting was followed by PE/VC MIXER under kindly support of Clifford Chance and Erste Corporate Banking.

Seminars on the Basics of Law for start-ups
When February - June, 2013 Where CMS, Palladium, Na Poříčí 1079/3a, Prague 1 Contact http://www.inovacentrum.cvut.cz/akce Seminars are scheduled to be held from February to June, every last Thursday of the month, at 6 p.m. in the premises of CMS in Prague. Participation is free of charge for start-ups.
All seminars of the series are free of charge for start-ups – speakers will include experienced advocates and the seminars will be held at Palladium, Na Poříčí 1079/3a, Prague 1, starting on 28 February 2013 at 6 p.m. The first seminar will be dedicated to the basic principles of the Czech law followed by a series of seminars on contracts, corporate law and securities, dispute resolution/ litigation, employment law, consumer protection and personal data protection. Businessmen who have just started their business will thus be provided with information that every entrepreneur should have a basic understanding of.
Capacity of the seminars is limited to 40 participants.

CVCA Christmas Celebration
When December 11, 2012 Where Hotel Kempinski Contact Hybernská 12, Praha 1 CVCA Christmas Celebration was supported by associated members: ERSTE Corporate Banking represented by Mr Jan Vrátník a CMS Cameron McKenna represented by Mr Lukáš Janíček. Mr Jaroslav Horák was awarded CVCA honorary membership for an extraordinery contribution to the private equity industry and long-term work for association. The VIA Foundation presented its activities during the evening.

CMS seminar on trends in M&A agreements
When October 11, 2012 Where CMS Cameron McKenna, Palladium Contact www.cmslegal.com Law firm CMS and the Czech Private Equity and Venture Capital Association (CVCA) jointly
organized a seminar on current standards in Share Purchase Agreements, based on CMS's latest M&A Study.The seminar was open to members of the CVCA and of the Chartered Financial Analyst Society (CFA) and marked the beginning of a closer cooperation between the two organizations.
Using the results of the latest annual CMS M&A Study (based on 1,350 transactions in which CMS has been involved) the seminar looked at what can currently be considered ‘market standard’ in European M&A transactions in terms of legal provisions in Share Purchase Agreements - such as MAC (material adverse change) clauses, purchase price adjustments, locked box and earn-out mechanisms and warranties - which are usually the subject of intensive negotiation.
Rather than looking at the legal mechanisms as such, the presenters Ian Parker and Ana Radnev translated what these mean for the audience in practice. The presenters also looked at terms of Share Purchase Agreements which may affect the bankability of transactions and other acquisition finance related issues.

Annual CVCA Membership Meeting and PRIVATE EQUITY MIXER
When June 21, 2012 Where DOX Gallery, Poupětova 1, Prague 7, 170 00 Contact www.cvca.cz On annual the Czech Private Equity and Venture Capital Association (CVCA) membership meeting in June, 21 new board members were elected.
Jiří Beneš, partner of 3TS Capital Partners, was elected as a new president and chairman of the CVCA board. Other new members of the board are: Robert Chmelař from company Mid Europa Partners and Tomáš Doležil, counsel of Clifford Chance law firm, who was newly elected as a chairman of CVCA Tax & Legal Committee. Starting in May Mrs Silke Horáková was appointed as Chief Executive Officer.
Thanks belongs to outgoing CVCA president Mr Vladislav Jež from Credo Ventures, who continues to be a board member, and outgoing board members: Jaroslav Horák from ARX Equity Partners and Mr Radim Stach from Onyx Capital. Board members remain Michal Aron (ARX Equity Partners) and Ondřej Bartoš (Credo Ventures).
